SAS BI Web Services Wizard and Explorer

Experimental Version 1.0 - Updated SEP 2006

The SAS BI Web Services Explorer is an ASP.NET application provided by SAS to aid in development of clients that call SAS BI Web Services. The SAS BI Web Services Wizard is a code generating wizard for Microsoft Visual Studio.NET. It simplifies the process of calling a SAS stored process through SAS BI Web Services. Before downloading the experimental software that you have requested ("Experimental Software"), please confirm that you have licensed all the required products to run the Experimental Software and have satisfied all other system dependencies associated with the Experimental Software. By clicking on the "Accept" button, the individual or entity licensing the Experimental Software ("Customer") agrees to these terms, and SAS Institute Inc. ("SAS") will authorize Customer to use the Experimental Software in accordance with the terms and conditions of this Agreement. If Customer does not agree to all of the terms of this Agreement, click on the "Decline" button.

  1. License Grant
1.1   In exchange for Customer’s compliance with all of the terms and conditions of this Agreement, SAS hereby grants Customer a nonassignable, nontransferable and nonexclusive license to use the Experimental Software for evaluation, non-production purposes only. Customer may not use the Experimental Software for production work or any other purpose.

1.2   Customer may not use the Experimental Software in any outsourcing, facilities management or service bureau arrangement or any data or information technology management operation by or for third parties.

1.3   The license for the Experimental Software will terminate upon the earlier of SAS’ request or six (6) months from the date the Experimental Software is downloaded, unless Customer fails to comply with any term or condition of this Agreement, in which case the license shall terminate immediately upon any such failure. Upon termination of the license, Customer agrees to immediately destroy all copies of the Experimental Software and accompanying materials. The license may not be renewed.

1.4   Customer agrees not to copy the Experimental Software, except Customer may make one (1) copy solely for backup purposes. Customer may not copy any written material or other documentation accompanying the Experimental Software.

1.5   No technical support for the Experimental Software is offered by SAS.

  2. Intellectual Property Rights

The Experimental Software is copyrighted. Title to the Experimental Software and all other rights remain with SAS and/or its licensors at all times. Source code from which the Experimental Software object code is derived ("Source Code") is a SAS trade secret. Customer may not reverse assemble, reverse engineer, or decompile the Experimental Software or otherwise attempt to recreate the Source Code, except to the extent applicable laws specifically prohibit such restriction. Customer agrees to abide by the copyright law and all other applicable laws of the United States and all other applicable jurisdictions including, but not limited to, export control laws. Customer agrees that the Experimental Software is proprietary to SAS, and Customer may not distribute or disclose the Experimental Software to any third party in modified or unmodified form. Customer agrees to use the same care and discretion to avoid disclosure, publication and dissemination of the Experimental Software as Customer uses with its own confidential business information and trade secrets, but in any case not less than reasonable care. Customer shall not remove any proprietary, copyright, trade secret or other legend from any form of the Experimental Software. Customer agrees that should any unauthorized disclosure or use of the Experimental Software be made by Customer or its employees, Customer will (a) immediately notify SAS of same; (b) take all reasonably necessary steps to prevent further unauthorized access and/or use; and (c) cooperate with SAS in its efforts to secure the Experimental Software and protect SAS’ proprietary rights therein. Customer agrees that SAS may use all evaluations and assessments provided to SAS by Customer about the Evaluation Software without restriction.

  3. Government Use

Use, duplication or disclosure of the Software and related documentation by the U.S. Government is subject to restrictions as set forth in FAR 52.227-19, Commercial Computer Software - Restricted Rights (June 1987) and this Agreement.

  4. Export Restrictions

In addition to the prohibitions set forth elsewhere in this Agreement, Customer may not access, download, install or otherwise export or reexport the Experimental Software or any underlying information or technology ("Controlled Material") except in full compliance with all laws and regulations of the United States of America and any other applicable laws and regulations. By accepting this Agreement, Customer affirms it is located in and is a lawfully admitted permanent resident of a country to which the United States permits SAS to send the Controlled Material. Customer further affirms it is a party to whom the United States allows SAS to provide the Controlled Material, and Customer is not on any United States Government list of parties to whom SAS may not license the Controlled Material, and Customer will not allow any such party to access the Controlled Material. The current list of parties to whom SAS may not license the Controlled Material includes but is not limited to parties who are involved in terrorism or who will use the Controlled Material for design, development, or production of nuclear, chemical, or biological weapons, or missiles.

  5. Limited Warranty

THE EXPERIMENTAL SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE, OR ARISING AS A RESULT OF CUSTOM OR USAGE IN THE TRADE OR BY COURSE OF DEALING. SAS DOES NOT WARRANT THAT THE EXPERIMENTAL SOFTWARE WILL CONFORM TO ANY SPECIFICATIONS PUBLISHED OR UNPUBLISHED. CUSTOMER ACKNOWLEDGES THAT THE EXPERIMENTAL SOFTWARE HAS NOT BEEN FULLY TESTED, AND AGREES THAT ALL USE OF OR RELIANCE UPON THE EXPERIMENTAL SOFTWARE IS AT CUSTOMER’S RISK. SAS AND ITS LICENSORS DISCLAIM ANY AND ALL LIABILITY CONNECTED WITH CUSTOMER’S USE OF THE EXPERIMENTAL SOFTWARE.

  6. Limitations of Liability

SAS and its licensors are not liable for (a) special, incidental, indirect, consequential, or reliance damages of any sort (whether arising in contract, tort or otherwise), or (b) any claim against Customer by a third party, even if SAS has been informed of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so this limitation and exclusion may not apply to Customer; however, they apply to the greatest extent permitted by law.

  7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina and of the United States of America. The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods to this Agreement.

  8. Complete Agreement

This Agreement sets forth the entire agreement between Customer and SAS regarding the Experimental Software and supercedes any purchase order, communications, or representations regarding the Experimental Software. If any provision of this Agreement shall be unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the enforceability of the remaining provisions. Any additions or modifications to this Agreement must be approved in writing signed by both parties. Customer may not assign its rights or delegate its duties or obligations under this Agreement without prior written consent of SAS. Any attempt to do so is void.
