SAS/C OnlineDoc(TM) License Agreement

 

IMPORTANT: PLEASE READ THE FOLLOWING LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING THE SAS/C ONLINEDOC. BY LOADING THE SAS/C ONLINEDOC ON YOUR COMPUTER, YOU ACCEPT THIS LICENSE AGREEMENT AND WILL ABIDE BY IT.

License Agreement

The SAS/C OnlineDoc is provided on the express condition that you consent to the terms of this SAS/C OnlineDoc License Agreement ("Agreement"). The SAS/C OnlineDoc is the copyrighted property of SAS Institute Inc. ("the Institute") and its licensors. Title to the SAS/C OnlineDoc and all other rights and uses not specifically granted in this Agreement are reserved by the Institute.

The Institute hereby grants to you, and you accept, a non-exclusive license to use the SAS/C OnlineDoc as authorized in this Agreement. As used in this Agreement, "Users" shall be defined as your employees and your on-site contractors doing work for you. You may install the SAS/C OnlineDoc on a single computer or on an intranet accessible by multiple Users. Such computers and/or intranet must be owned or controlled by you.

The Institute does not guarantee that the SAS/C OnlineDoc will meet your requirements or that the operation of the SAS/C OnlineDoc will be uninterrupted or error-free.

You may not sublicense, rent or lease the SAS/C OnlineDoc, or transfer your license to another person or entity. The license is effective until terminated. You may terminate your license to use the SAS/C OnlineDoc by either returning all copies of the SAS/C OnlineDoc or by destroying the copies. This license will also terminate if you fail to comply with any term or condition of this Agreement. You agree upon such termination to destroy all copies of the SAS/C OnlineDoc and accompanying materials.

Users may use the SAS/C OnlineDoc for your internal business purposes. Users may print portions or all of the SAS/C OnlineDoc, in human readable form, and may duplicate such printed copy for your internal use. Neither you nor Users may sell such copies or provide such copies to any third party. When printing any portions of the SAS/C OnlineDoc or duplicating such printed copies, you agree to print and duplicate the Institute’s copyright notices contained within the SAS/C OnlineDoc and to ensure that such notices appear on all such copies made by you.

Limited Warranty/Limitation of Remedies. The Institute warrants to you that the media on which the SAS/C OnlineDoc is furnished will be free from defects in material and workmanship under normal use for a period of ninety (90) days from the date of delivery of the SAS/C OnlineDoc. Your exclusive remedy shall be replacement of the defective media by the Institute.

THE INSTITUTE AND ITS LICENSORS DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE WHETHER ALLEGED TO ARISE BY LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, OR BY COURSE OF DEALING. IN NO EVENT WILL THE INSTITUTE’S OR ITS LICENSOR’S LIABILITY FOR ANY ACTION IN CONTRACT, TORT, OR OTHERWISE, INCLUDING LOST PROFITS, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE SAS/C ONLINEDOC, EXCEED THE FEE YOU PAID FOR THE SAS/C ONLINEDOC, IF ANY, EVEN IF THE INSTITUTE OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limited warranty gives you specific legal rights. Some jurisdictions provide other rights, and some jurisdictions do not allow the exclusion or limiting of implied warranties, including duration, or limiting liability for incidental or consequential damages. As a result, the above limitations and/or exclusions may not apply to you.

You agree to indemnify and hold the Institute harmless against any damages or liabilities accruing to the Institute arising out of or related to any modifications to the SAS/C OnlineDoc made by you or any User.

Preproduction Versions of SAS/C OnlineDoc. If this Agreement accompanies a preproduction version of the SAS/C OnlineDoc, you agree to provide feedback to the Institute regarding such preproduction version as the Institute requests and the Institute may use such feedback internally as it wishes.

Government Use. Use, duplication or disclosure by the U.S. Government is subject to the restrictions as set forth in FAR 52.227-19, Commercial Computer Software - Restricted Rights, and this Agreement.

International Use. If the SAS/C OnlineDoc is installed, accessed or transported by you across international borders, you agree to ensure compliance with all applicable import, export and other regulations and laws.

General. This Agreement and any invoices relating to the SAS/C OnlineDoc constitute the complete Agreement between you and the Institute about the SAS/C OnlineDoc and supersede any purchase order, communications, or representations regarding the SAS/C OnlineDoc. If any provision of this Agreement shall be unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the enforceability of the remaining provisi ons. Any additions or modifications must be approved in writing signed by both parties. This Agreement is governed by the laws of the United States of America and the State of North Carolina.
